1. Introduction
These Terms and Conditions (“Terms”) govern access to and use of the PA360 website, mobile applications, software platform, and related services collectively referred to as the “Services”.
The Services are operated by Personal Assistant 360 FZ-LLC (“PA360”, “we”, “us”, or “our”).
By creating an account, accepting an invitation, purchasing a subscription, or accessing or using PA360, users agree to be bound by these Terms and our Privacy Policy. If a user does not agree, they must not use the Services.
These Terms apply to all users of PA360, including primary account owners and Authorized Users invited to access the platform.
PA360 is intended solely for individuals who are at least eighteen (18) years of age. By using the Services, users confirm that they meet this requirement and have the legal capacity to accept these Terms.
2. Description of the Services
PA360 provides a digital platform that allows users to organize, manage, store, track, and collaborate on personal and professional information.
The Services may include features relating to assets, profiles, reminders, documents, notes, tasks, records, contacts, calendar-related information, folders, trackers, communications, and AI-assisted functionality.
Available features, storage allowances, user limits, integrations, and other functionality may depend on the subscription plan selected.
PA360 is an organizational and information-management platform. It does not replace independent recordkeeping or professional legal, financial, tax, investment, insurance, medical, or other advice.
We may update, improve, replace, or discontinue features where reasonably necessary for technical, operational, security, legal, or commercial reasons.
3. User Accounts and Verification
Users may be required to create an account and verify their email address before accessing certain features.
Users agree to:
- Provide accurate and complete account information.
- Keep their information reasonably current.
- Maintain the confidentiality of login credentials.
- Use appropriate measures to protect their account.
- Notify PA360 promptly of suspected unauthorized access or security concerns.
- Use the Services only for lawful purposes.
Each individual must use their own login credentials. Account credentials must not be shared with another person.
Users are responsible for activity performed through their accounts where such activity results from their actions or failure to protect their credentials.
PA360 may require additional verification or authentication where reasonably necessary to protect users, information, or the Services.
4. Primary Account Owners and Authorized Users
A primary account owner may invite trusted individuals as Authorized Users, including personal assistants, executive assistants, family members, household managers, or other individuals selected by the account owner.
Authorized Users may only access the information, documents, assets, and features expressly permitted through the permissions assigned by the primary account owner.
The primary account owner remains responsible for:
- Selecting Authorized Users.
- Managing and reviewing their permissions.
- Ensuring they are authorized to access the relevant information.
- Modifying or revoking access when appropriate.
- Removing access when an Authorized User is no longer trusted or authorized.
Authorized Users must use PA360 only within the permissions granted to them and in accordance with these Terms.
PA360 does not independently determine whether an Authorized User should have access to particular information and does not grant access beyond the permissions assigned by the primary account owner.
The suspension, cancellation, deactivation, or deletion of the primary account may affect all associated Authorized Users.
5. User Responsibilities
Users are responsible for:
- The accuracy, completeness, and legality of information entered or uploaded.
- Ensuring they have the right and authority to store or share information through PA360.
- Obtaining any permissions or consents required before entering another person’s information.
- Managing reminders, dates, records, permissions, and account settings.
- Reviewing notifications and taking any required action.
- Maintaining independent copies of important documents where appropriate.
- Complying with applicable laws, contractual obligations, and third-party rights.
PA360 does not independently verify user-provided information.
Reminders, notifications, and automated features are intended to assist users with organization. Users remain responsible for monitoring and fulfilling their own deadlines, renewals, payments, appointments, contractual obligations, and other responsibilities.
6. Prohibited Use
Users must not:
- Use PA360 for unlawful, fraudulent, deceptive, abusive, or harmful purposes.
- Upload malicious files, viruses, malware, or harmful code.
- Attempt to access another user’s account or information without authorization.
- Bypass or interfere with authentication, permissions, security measures, or platform functionality.
- Copy, scrape, reproduce, resell, or commercially exploit the Services without written permission.
- Reverse engineer, decompile, disassemble, or attempt to derive the platform’s source code, except where such restriction is prohibited by law.
- Upload content that infringes intellectual property, privacy, confidentiality, or other third-party rights.
- Impersonate another person or misrepresent their identity or authority.
- Use PA360 in a way that disrupts, damages, overloads, or compromises the Services.
- Assist another person in carrying out prohibited activity.
PA360 may investigate suspected misuse and restrict, suspend, or terminate access where reasonably necessary.
7. User Content
“User Content” means information, documents, records, files, notes, images, attachments, profiles, reminders, messages, and other materials entered, uploaded, created, or stored through PA360.
Users retain ownership of their User Content. PA360 does not claim ownership of it.
Users grant PA360 a limited, non-exclusive right to host, store, process, display, transmit, back up, and otherwise handle User Content only as reasonably necessary to:
- Provide and operate the Services.
- Enable requested features and collaboration.
- Perform requested AI-assisted functions.
- Provide support and maintain security.
- Comply with applicable legal obligations.
- Process account retention, reactivation, or deletion.
Users confirm that they own their User Content or have the necessary authority and permissions to use and store it through PA360.
PA360 may restrict or remove User Content where reasonably necessary to comply with applicable law, enforce these Terms, address security concerns, or protect the rights of users, PA360, or third parties.
8. Subscription Plans, Billing, and Upgrade & Downgrade
Certain PA360 features require an active paid subscription.
Available plans, fees, billing periods, storage allowances, user limits, included features, and applicable charges will be displayed before purchase.
Unless otherwise stated:
- Subscription fees are charged in advance.
- The primary account owner is responsible for all subscription charges.
- Applicable taxes or payment-processing charges may be added where required.
- Continued access to paid features depends on successful payment.
By purchasing a subscription, the primary account owner authorizes PA360 and its payment providers to charge the selected payment method for subscription fees, renewals, applicable taxes, and approved add-ons.
Payment-card details may be processed directly by third-party payment providers and may not be stored by PA360.
Plan Changes — Upgrade and Downgrade
The primary account owner may upgrade or downgrade their subscription plan where such options are made available by PA360.
Upgrades may take effect immediately upon confirmation during the upgrade process. Any additional charges will be disclosed before confirmation.
Downgrades will generally take effect at the end of the current billing period unless PA360 specifies otherwise.
9. Auto-Renewal
Unless stated otherwise at the time of purchase, subscriptions automatically renew for successive billing periods until cancelled.
The selected payment method may be charged automatically on or around the renewal date.
Users are responsible for maintaining valid payment information and cancelling their subscription before renewal where they do not wish it to continue.
Subscriptions purchased through the Apple App Store, Google Play Store, or another third-party marketplace must be managed through the relevant provider where required.
PA360 may change subscription prices or plan structures from time to time. Where a change affects an existing subscription, notice will be provided where required by applicable law or reasonably practicable, and the change will normally apply from a future renewal period.
10. Cancellation
Users may cancel their subscription at any time through the available account settings, payment provider, or another method communicated by PA360.
Cancellation becomes effective at the end of the current paid billing period.
Users will continue to have access to paid features until the end of that billing period. Cancellation prevents future renewals but does not result in an immediate termination of access.
No prorated refund or credit will be issued for unused time remaining in a paid billing period, except where required by applicable law or expressly approved by PA360.
11. Failed Payments and Grace Period
If a subscription payment fails or expires, the user will receive a seven (7) day grace period.
During the grace period, the user may continue to access PA360 and update or renew their subscription.
If payment is not successfully completed before the grace period expires:
- The account will become inactive.
- Access to PA360 will be restricted.
- Associated Authorized Users may also lose access.
PA360 may attempt to process the payment again using the payment method associated with the subscription, where permitted.
12. Refund Policy
Subscription fees are generally non-refundable, except where required by applicable law or expressly approved by PA360.
Refunds will not normally be provided for:
- Change of mind.
- Failure to use the Services.
- Partial use of a billing period.
- Failure to cancel before renewal.
- Selection of an incorrect plan by the user.
- Suspension or termination resulting from a breach of these Terms.
PA360 may consider refund requests relating to duplicate payments, incorrect billing caused by a system error, or a verified technical issue that materially prevented access to paid Services.
Purchases made through the Apple App Store, Google Play Store, or another third-party marketplace are subject to that provider’s refund procedures. Refund requests may need to be submitted directly to the relevant provider.
Nothing in this Refund Policy limits any mandatory refund, cancellation, or consumer rights available under applicable law.
13. Free Trials and Promotional Offers
PA360 may offer a seven (7) day free trial or other promotional offers.
Any specific trial or promotional terms will be displayed at registration or purchase.
Unless otherwise stated, users may be required to provide a valid payment method when starting a free trial. The applicable subscription fee may be charged automatically when the trial ends unless the subscription is cancelled before the trial expiry date.
A user may not be eligible for repeated free trials. PA360 may withdraw or modify promotional offers at its discretion, subject to applicable law.
14. Suspension and Termination
PA360 may restrict, suspend, or terminate access where a user:
- Violates these Terms.
- Misuses the Services.
- Fails to pay applicable fees.
- Engages in fraudulent or unlawful activity.
- Creates a material security, legal, technical, or operational risk to PA360, its users, or third parties.
- Uses the Services in a way that may harm PA360, another user, or a third party.
Where appropriate, PA360 may provide notice and an opportunity to resolve the issue. Immediate action may be taken where reasonably necessary to address fraud, security risks, unlawful conduct, or serious misuse.
Termination does not affect rights or obligations that arose before termination.
15. Account Deactivation and Data Retention
Once a cancellation becomes effective, or the seven-day grace period expires without successful payment, the account will become inactive and access to PA360 will be restricted.
Account data will then be retained for thirty (30) days to allow the account to be reactivated in accordance with the applicable subscription terms.
If the account is not reactivated within the 30-day retention period, personal information and User Content will be permanently deleted or anonymized, unless a longer retention period is required or permitted by applicable law.
Certain information may be retained where necessary for legal, regulatory, tax, accounting, fraud-prevention, security, backup, or dispute-resolution purposes.
Further information regarding the handling and retention of personal information is provided in the PA360 Privacy Policy and Account & Data Deletion Policy.
16. Service Availability and Updates
PA360 aims to keep the Services available and functional but does not guarantee uninterrupted, secure, or error-free access.
The Services may be temporarily unavailable due to:
- Maintenance or updates.
- Technical issues.
- Security incidents.
- Internet or server outages.
- Third-party service failures.
- Events beyond PA360’s reasonable control.
PA360 may release updates that are necessary for security, compatibility, performance, or functionality. Users may need to install updates or use a supported device, browser, or operating system to continue accessing certain features.
17. Data Backup and Security
PA360 uses reasonable technical and organizational measures designed to protect User Content and personal information.
However, no internet-based service or storage system can be guaranteed to be completely secure or free from data loss.
Users should maintain independent copies of important documents and information where appropriate.
Users must promptly notify PA360 if they suspect unauthorized access, loss of credentials, or another security concern.
PA360’s handling of personal information is further described in the Privacy Policy.
18. Third-Party Services
PA360 may integrate with or rely on third-party services, including payment processors, cloud infrastructure providers, communication tools, analytics providers, app stores, calendar providers, and AI service providers.
Third-party services are governed by their own terms and privacy policies.
PA360 is not responsible for the availability, content, security, terms, policies, or actions of third-party services that it does not control.
PA360 may change or discontinue an integration if the relevant third-party service becomes unavailable, changes its requirements, or creates a security, legal, technical, or operational concern.
19. AI-Assisted Features
PA360 may provide AI-assisted features designed to help users organize, search, summarize, and interact with information stored within the platform.
AI-generated content may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose.
Users must independently review AI-generated responses before relying on them, particularly for legal, financial, tax, medical, insurance, or other important decisions.
AI-assisted features are provided as organizational support and do not replace professional advice. Users remain responsible for decisions and actions taken based on AI-generated content.
20. Intellectual Property
PA360 and its licensors retain all rights in the Services, including the software, source code, design, layout, branding, trademarks, graphics, text, databases, features, and technology.
Except for the limited right to use the Services in accordance with these Terms, no intellectual property rights are transferred to users.
Users must not copy, reproduce, modify, distribute, publish, sell, sublicense, create derivative works from, or otherwise exploit any part of PA360 without prior written permission.
Feedback or suggestions voluntarily provided to PA360 may be used to improve the Services without creating an obligation to compensate the person providing them.
21. No Professional Advice
PA360 may help users organize information relating to assets, contracts, finances, insurance, compliance, health, reminders, or other matters.
PA360 does not provide legal, financial, tax, investment, accounting, insurance, medical, or other professional advice.
Information stored, organized, summarized, or generated through PA360 should not be treated as a recommendation or professional opinion.
Users should consult an appropriately qualified professional before making decisions requiring specialist advice.
22. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis without guarantees that they will always be uninterrupted, error-free, or suitable for every purpose.
PA360 will not be liable for indirect, incidental, special, consequential, or punitive losses, including loss of profit, opportunity, business, goodwill, or data, arising from or relating to:
- Use of or inability to use the Services.
- User Content or decisions based on it.
- Missed reminders, deadlines, renewals, or notifications.
- AI-generated content.
- Unauthorized access resulting from a user’s failure to protect credentials.
- Third-party services.
- Events beyond PA360’s reasonable control.
To the maximum extent permitted by applicable law, PA360’s total aggregate liability arising out of or relating to the Services shall not exceed the total subscription fees actually paid to PA360 by the relevant primary account owner during the twelve (12) months immediately preceding the event giving rise to the claim. Where a claim is brought by an Authorized User, the applicable liability cap shall be calculated by reference to the subscription fees paid by the primary account owner whose account the Authorized User accessed.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
23. Indemnity
To the extent permitted by applicable law, users agree to indemnify and hold harmless PA360, its directors, officers, employees, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:
- The user’s misuse of the Services.
- User Content.
- A breach of these Terms.
- A violation of applicable law.
- A violation of another person’s rights.
This section does not apply to the extent that a claim results directly from PA360’s own unlawful conduct.
24. Changes to These Terms
PA360 may update these Terms from time to time to reflect changes to the Services, business practices, legal requirements, or operational needs.
The updated Terms will be published on the website or platform with a revised effective date.
Where required by law or where a change is material, PA360 may provide additional notice through email, in-app notification, or another appropriate method.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms. Where consent is required by applicable law, PA360 will request it separately.
25. General Provisions
These Terms, together with the Privacy Policy and any additional terms expressly agreed between PA360 and the user, constitute the agreement governing use of the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
PA360’s failure to enforce a provision does not waive its right to enforce that provision later.
Users may not assign or transfer their rights or obligations under these Terms without PA360’s prior written permission. PA360 may assign its rights and obligations as part of a merger, restructuring, financing, acquisition, sale of assets, or similar business transaction.
Headings are included for convenience and do not affect interpretation.
26. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Ras Al Khaimah, without prejudice to any mandatory consumer rights or protections that apply under applicable law.
Any dispute arising from or relating to these Terms or the Services will be subject to the competent courts of Ras Al Khaimah, United Arab Emirates, unless otherwise required by applicable law.
